Welcome to RTHM Fund. By accessing or using any services, platforms, websites, or tools operated by RTHM Fund ("we," "our," or "us"), you ("Artist," "you," or "your") agree to comply with and be bound by the following Terms and Conditions.

Please read them carefully before entering into any agreement or using our services.

1. Overview

RTHM Fund is a music financing company that provides funding to music artists in exchange for a percentage of their future royalties. Funding is provided based on artist performance metrics, financial statements, and contract terms set forth in each agreement. We also offer distribution services through our white-label platform, and may assist in marketing, promotion, and reporting.

2. Eligibility

To be eligible for our services, you must:

• Be at least 18 years old (or the age of majority in your jurisdiction)

• Own or control the rights to your music catalog

• Provide accurate, complete, and verifiable financial statements and streaming history

• Not be bound by exclusive contracts that would prevent royalty assignments

We reserve the right to reject any application or terminate your access to our services at our discretion.

3. Funding Agreements

• All funding is subject to approval and a legally binding agreement that outlines the advance amount, recoupment terms, royalty share, payment schedule, and term length.

• Advances are recouped directly from future earnings generated by your distributed music.

• You agree to assign a portion of your royalty revenue (as stated in your contract) until the total advance and fees are fully recouped.

• Early repayment or buyouts may be possible based on terms negotiated in the agreement.

4. Use of Distribution Services

If you choose to distribute through RTHM Fund’s white-label platform:

• You grant us the right to distribute your music to digital platforms (e.g., Spotify, Apple Music).

• You affirm you have all rights necessary to distribute your music.

• You agree not to upload or distribute infringing, illegal, or misleading content.

• We take a flat percentage of your royalties as outlined in our agreement; there are no upfront distribution fees.

5. Ownership and Rights

• You retain ownership of your music unless otherwise specified.

• We do not claim ownership of your master recordings or compositions; however, we may hold certain rights (e.g., royalty assignments) during the funding term.

• You grant us a limited license to use your name, image, and likeness for promotional purposes related to our services.

6. Reporting and Payment

• We provide royalty reporting based on data from DSPs (Digital Service Providers).

• Payments are made to artists after we deduct our agreed share and recoupment amounts.

• It is your responsibility to ensure your payment and tax information is current and accurate.

7. Termination

• Either party may terminate their relationship in accordance with the termination clause in the funding agreement.

• Upon termination, any outstanding balance owed to RTHM Fund must still be paid in full.

8. Disputes

• Any disputes regarding royalty payments, recoupment, or contract terms must be submitted in writing.

• We will make reasonable efforts to resolve disputes in a timely manner.

• If disputes cannot be resolved internally, they will be settled through binding arbitration or as stated in your agreement.

9. Limitation of Liability

RTHM Fund is not liable for:

• Loss of income due to DSP errors, takedowns, or delayed payments

• Business losses, missed opportunities, or third-party damages

• Any unauthorized use of your account caused by your negligence

10. Modifications

We may update these Terms at any time. Changes will be posted on our website, and continued use of our services constitutes your acceptance of the updated terms.

Our use of your personal data is governed by our Privacy Policy.
